STANDARD TERMS APPLICABLE TO ALL AUCTIONS

These terms and conditions set out the terms on which we offer lots for sale and which apply to sellers, bidders and buyers. Therefore, you must read them carefully before giving us instructions to sell goods or before bidding on goods, as they will bind you once we accept your selling instructions or when you place any bids.

You should be aware that all of our auctions include the opportunity for bidders to watch the sale and therefore are public auctions within the meaning of the Consumer Rights Act 2015 ("the CRA") and the Consumer Agreements (Information, Cancellation and Additional Charges) Regulation 2013 (“the Regulation”). All products are being sold as used unless otherwise noted. If the goods are second-hand, even if you are a consumer (ie you do not purchase goods in the course of your trade or profession), most of the rights set out in the CRA and the Regulations do not apply to your purchase. If you have any questions about what rights apply to this agreement, please ask us or get legal advice, as we will enforce your legal rights if they apply to your agreement with us.

Definitions

  1. The following definitions will apply to this contract

1.1 "We/we" are Global Auctions (UK) Limited

1.2 “You” are the customer (you can be a Bidder, a Buyer or a Seller).

1.3 "the Seller" is the person who sells an item, whether offered for sale at a future date or following an actual sale.

1.4 “the Buyer” is the person who successfully bids for an item, whether in a public auction or a private sale.

1.5 "a Bidder" means any Bidder, successful or unsuccessful.

1.6 “Buyer Premium” means a premium of 20% incurred on the Closing Price of all lots, unless otherwise stated.

1.7 “Hammer price” means the highest offer accepted by us.

1.8 “Goods” means items submitted for auction by a Seller (either one item or a set or group of items).

1.9 “Lot” means any Good sold at auction on the Premises.

1.10 "Business Day" means any day on which our facilities and auctions are open to the public for business.

  1. All entries of Goods and the subsequent sale and purchase of Lots in our public auctions are subject to these terms and you acknowledge and agree that these Terms are binding on you and in particular:

2.1 by a Bidder who registers to use our website;

2.2 by a Buyer participating in an auction; y

2.3 by a Seller when any property is accepted for auction.

Agency

  1. We act at all times solely as agent for Seller (except where specifically stated that we hold all or part of any lot as principal). We do not act as agent for any Bidder or Buyer unless we specifically agree otherwise in writing.
  2. We accept no personal liability for any contract made at or prior to any auction between a Seller and a Buyer or in connection with the sale of any item offered at any of our auctions and as such we are not liable for any breach of the Seller or Buyer. . However, as we facilitate all sales as agents, we are the appropriate point of contact for any Buyer who has questions about any sale.

  1. Unless otherwise agreed with us in writing, no Product will be deemed accepted for any auction unless and until the Seller:-

5.1 Delivered the Goods to the corresponding Premises;

5.2 You have provided a digital and/or electronic description of the Goods;

5.3 You have provided any other relevant certificates relating to the Goods we have asked the Seller to produce.

  1. We have the right to refuse entry of any Product to any auction in our sole discretion.
  2. Seller warrants to us and Buyer that:

7.1 The Seller is the true owner of the Goods or is duly authorized to sell the Goods by the true owner;

7.2 The Seller may transfer a Good and negotiable title to the Goods free of third party claims; y

7.3 All representations made by Seller in any form about the Goods are correct and (where a statement of opinion) are based on adequate and accurate information, and Seller acknowledges that Global Auctioneers and Buyer will rely on such representations;

and Seller will indemnify us, our employees and agents, and Buyer for any loss or damage suffered by them as a result of any breach of the warranties set forth in this clause.

  1. A bidder enters an auction by completing the registration process, which involves providing a form of identification as requested and completing and submitting a registration form.
  2. It is the Bidder's responsibility to view the Lots they wish to bid on before participating in any auction.
  3. Each Bidder is deemed to be a principal unless we have received written acknowledgment that the Bidder is acting as an agent on behalf of a designated principal and we have agreed that the Bidder is acting in that capacity.
  4. We reserve the right to exclude any Seller or Bidder who fails to provide proper identification when requested.

Sales Conduct

  1. We will have full control over the performance of all auctions. This means that, in particular, we can do any of the following without giving any reason:

12.1 Reject any offer or refuse to accept any offer from anyone;

12.2 Withdraw, divide or consolidate lots offered at auction at any time;

12.3 Offer or withdraw a reserve price;

12.4 Determining any dispute over what the final bid is or whether an auction has been completed and, if so, at what price;

  1. If we set a minimum bid for any auction or set a reserve price, we will make this clear and will be binding on all Bidders. We are not required to advertise a reserve price and all of our auctions are non-reserved unless otherwise noted.
  2. The success or otherwise of a bid is entirely at the discretion of the auctioneer conducting the auction and we are entitled to resolve any and all disputes between bidders or relating to any aspect of the conduct of an auction. In that case, we can immediately settle the dispute or re-offer the lot in the last undisputed offer or withdraw the lot.
  3. Subject to the foregoing criteria, the Bidder offering the highest price will become the Purchaser of any item offered for sale at auction. VAT will be added to each winning bid (at the rate in force), unless a lot is zero rate or exempt from VAT.
  4. Bookings and commissions made by telephone are accepted at the sender's risk and must be confirmed in writing prior to the date of sale.

  1. Buyer shall pay the balance of the purchase price plus 20% Buyer Premium plus VAT and, where applicable, the Online Fee at the then-current rate plus VAT. This must be paid in cash or bank check or direct electronic bank transfer byno later than 4:30 pm. m. on the next business day after the day of sale(except as otherwise specified in the written details of the terms of a particular sale).
  2. The lots on which the Buyer must pay VAT are indicated in the catalogue. VAT is payable at auction day rates and will be added to the winning bid.
  3. The Buyer is responsible for picking up the Lot within 48 hours from the time of purchase of the Lot or 4:30 pm. m. 2 days after the end of the sale. No lot may be picked up before full payment has been made and the lot will be picked up at Buyer's expense once we authorize the pick up. All removals will be supervised by the porters. Lots can only be picked up by the declared Buyer or our designated parcel or pallet carrier.
  4. Buyer is responsible for a storage fee of £20 plus VAT per Lot per day or £50 + VAT per pallet per day, whether or not the Lot has been paid for after 48 hours of Lot purchase and continuing until the Lot is withdrawn or resold.
  5. If the Buyer does not make the required payment, we will resell the Lot at public auction or private sale, which may occur on the next business day after payment is due. The deficiency (if any) resulting from the resale in relation to the original price, plus a handling/administration fee equal to 20% of the total amount of the invoice to be due as a debt of the defaulting Buyer on the first sale and will be removed from the credit card. Buyer's credit registered with us.
  6. We will ship the net proceeds of the sale to the Seller no later than one month after the Auction, unless we have indicated in writing prior to the Auction that some other timeframe will apply.

Responsibility

  1. The basic principle of our auctions is that lots are sold as seen. This means that it is the Bidder's responsibility to inspect any lot they are interested in before bidding if they want to know more about the lot. We will allow all bidders to inspect any item to verify the lot contents to the extent possible (for example, it may not be possible to inspect inside the sealed package).
  2. All items sold may have flaws and stains. Our lots include used, reclaimed, raw, ex-exposure, reclaimed and seized products - no ratings or warranties are to be read in any description and these products are considered used. Illustrations in catalogs are for general identification only. Buyers must verify the condition of each lot, including size or quantity (if applicable), packaging, condition or quality, or in good working order, prior to auction and Buyer must verify these items if they are significant. rather than relying on a general description. If you are a Buyer, you confirm that by participating in this auction you assume responsibility for your own inspection of the item and are not entitled to any claims, including damages or termination for any errors or quality errors. of any item sold.
  3. Any statement by us or any member of our team in relation to any lot is a genuine statement of opinion only and each person should rely on their own judgment in all matters affecting the lot. The products are also not sold by sample. Neither the Seller nor we, our employees or agents make or give, nor any person employed by the Auctioneers has authority to make or give, any representation or warranty in relation to any lot and implied warranties or conditions are excluded (so to the fullest extent permitted by law ).
  4. Any estimate provided over a lot is also only an expression of our opinion as to the range into which we believe the hammer price is likely to fall. It is not an estimate of value and should not be relied upon as such or as a reliable prediction of Hammer Price. Any estimate must be considered without VAT or Buyer's Premium.
  5. In the case of watches and clocks, we do not represent or warrant that any watch or watch will function properly. It should not be presumed by the absence of any reference to the condition of a watch that the Lot is in good condition and free from defects, repairs or restorations. In particular, most watches have been serviced during their normal lifetime and may now incorporate non-genuine parts. As watches often contain fine and complex movements, prospective buyers should be aware that additional service, battery replacement or repair work may be required and the buyer is solely responsible for this.
  6. For gemstones, you should be aware that many gemstones have likely undergone a variety of treatments to improve their appearance, including diamonds to enhance clarity, so buyers should assume that colored gemstones may have been exposed to some kind of treatment, unless expressly stated otherwise. If we have certificates for any Lot, these certificates will be disclosed in the description of the item. Neither we nor the Seller accept any responsibility for inconsistencies or different certificates obtained by Buyers in any Aftermarket Lot. If the weight of a piece of jewelry is included in a description, the stone(s) has been evaluated by us within its settings, and the stated weight is only a statement of our opinion. This information is provided as a guide and bidders should be satisfied with this information as to its accuracy.
  7. In the case of car sales, we act as the Seller's agent and it is your responsibility to ensure that the car is sold with no outstanding finance or title defects. Any statement about mileage is a statement of what is recorded on the car's odometer and no guarantee is given that the odometer is correct.
  8. We do not warrant that any item of plant machinery or equipment contained in lots will necessarily comply with the Occupational Health and Safety Act 1974 or any other statutory or regulatory requirement for such plant, machinery or equipment and compliance with any of these is your sole responsibility. of the Buyer (or of the Seller if there are statutory or regulatory obligations of the Seller in particular cases).
  9. Please also note that we do not test electrical items. We do not guarantee or represent that electrical items will function properly.
  10. As an auctioneer, we do not guarantee seller title to any item. The seller is responsible for ensuring that he has title to the goods in accordance with s. 12 of the Sale of Goods Act 1979. However, if there is any doubt about the Seller's title, the Buyer should contact us and we will attempt to resolve the matter with the Seller.
  11. When we make a sale on behalf of a Seller who is a liquidator or liquidator of a bankrupt company or liquidator:

33.1 We and the Seller only sell any right, title or interest that the company or recipient may have in any Lot;

33.2 In the event that a third party proves to have superior title or right to custody or possession of any Lot, we may terminate the contract of sale and, upon return of any Security Deposit and/or Sale Price to the Buyer, neither we nor the Seller shall have no further liability to Buyer.

  1. Neither the Seller nor we, our servers or agents are responsible for the authenticity of any Lot. However, if the Buyer wishes to dispute the authenticity of a Lot, the following shall apply:

34.1 Any challenge to the authenticity of a Lot must be initiated by the Buyer giving written notice that, in its opinion, the Lot is a counterfeit within 14 days of sale (this must be done immediately to ensure authenticity is confirmed). questioned before we pass on the sale price to the Seller);

34.2 Within 28 days of such notification, the Purchaser must return the Lot to us in the same condition as it was at the time of sale, accompanied by evidence (the burden of proof rests with the Purchaser) to convince us that, taking into account account the catalog entry, the batch is a counterfeit. 34.3 In this case, the sale of the Lot will be terminated and the purchase price refunded.

34.4 Seller and Buyer agree to be bound by our decision. In deciding whether or not the batch is counterfeit, we shall be entitled to seek the opinion of any expert or other authority.

  1. If, despite these terms and conditions, we are held liable by any Buyer or Bidder as a result of any undertaking, representation or warranty given in respect of any item supplied by a Seller, or any information or description of an item supplied by a Seller, or any fair and reasonable description provided by us based on the appearance or other characteristics of the lot at the time of description, or based on a visual inspection of the lot or based on any defect in title or quality or otherwise or the need to terminate a sale because the item is not genuine or not, the Seller will indemnify us for any liability and costs arising from such undertaking, representation or warranty and in any way caused.

Property

  1. All Goods that we own, prior to their sale in Lot, will remain the property of the Seller. It is the Seller's responsibility to ensure that any item is insured and we will not be liable to the Seller if any item is lost, stolen, damaged or destroyed prior to delivery to our facility. However, we will take reasonable precautions for the security of items stored on our premises and will keep all items insured against damage or theft while they are on our premises. If an item is withdrawn from a sale by a Seller or for any other reason has to be returned to the Seller, it is the Seller's responsibility to ensure that it is safe from the moment it leaves our premises and we will not be liable to the Seller. if any item is lost, stolen, damaged or destroyed at any time after it has left our premises.
  2. Once the hammer has dropped and a successful bid has been declared, the item is immediately held by us on behalf of the Buyer. We remain responsible for taking reasonable care of the security of the item while on our premises and will keep all items insured against damage or theft while on our premises.
  3. Any Seller must notify us upon delivery and any Buyer must notify us at the end of the applicable Auction if an item is of specific value so that we can notify our insurers; for a Seller this is if the item is unusual and may require specialized insurance, and for a Buyer this is because the Buyer believes the item's true value is greater than the Auction selling price. In the event of loss or damage to any item, if any insurance claim made by us is void due to lack of information from Seller or Buyer, we will not be liable for such loss or damage to Seller or Buyer (as applicable). ).
  4. However, ownership of the item will only pass to Buyer when the purchase price has been paid in full (except in the case of any sale to a consumer under the Consumer Rights Act 2015, in which case ownership passes to be collected by Buyer or its designated carrier).
  5. Once an item leaves our premises, neither we nor the Seller are responsible if any item is lost, stolen, damaged or destroyed. Buyer must therefore ensure that the purchase is covered by insurance from the time Buyer arranges for it to be collected from us.

Delivery

  1. Delivery to the buyer must be arranged by contacting our shipping or customer service department. (one for regular batches and one for pallets). Once Buyer has paid the purchase price, Buyer shall pay for our designated carrier to provide delivery (we will provide a shipping quote upon request) and pay our collection and packing charges to cover our costs of packing the material in a way that suits your condition.

ATTENTION: ALL CUSTOMERS MUST PICK UP PERSONALLY OR REQUEST AND PAY THE SHIPPING BY 4:30 PM. m. TWO DAYS AFTER THE END OF THE SALE WHERE THE PRODUCTS WERE PURCHASED. DON'T DO THATWILLPOWERWILL RESULT IN THE WINNING ITEMS BEING LOCED AGAIN AND "NO REFUND" WILL BE GIVEN.

The only exception to using our designated carrier are mattresses for which we do not provide shipping and therefore you will need to arrange for a delivery service that can assist on our website. Otherwise, for health and safety reasons, we limit access to our Facilities to our designated carriers. Please note that we cannot insure glass and therefore requesting delivery of any glass is done at the buyer's own risk.

  1. We arrange for delivery to take place in accordance with a contract between us and the carrier named on your behalf.
  2. We are not responsible once the Lot leaves our premises for custody and in case of loss or damage during transport we are not responsible and you would have to take care of the transporter. Please note that carriers generally do not carry insurance covering the full value of the transported goods; therefore, you must purchase insurance for any shipment in transit.
  3. If after delivery you wish to return the Lot to us for any reason or have the right to rescind the sale, we will arrange for a courier, but you will have to pay the costs of returning the Lot (unless you are a consumer within the meaning of the CRA, in which case that the charge is as set out below).

Visiting our facilities

  1. Anyone on our premises before, during or after the sale will be deemed to be there at their own risk and with prior notice of the condition of the premises and its contents. Such persons shall have no claim against us in respect of any injury suffered or any accident which may occur from any cause, except for injury or death caused by our negligence or where such liability cannot be excluded by law.
  2. Buyer shall be responsible for any loss or damage to any item on our premises caused by Buyer or any agent or employee of Buyer or any independent contractor engaged by Buyer to inspect or transport any item to or from our premises, and Buyer shall indemnify us for any loss or damage caused by it. Buyer or Buyer's agent or independent contractor will comply with any instructions we may give regarding the safe disposal of any Goods and to ensure that the Premises and other Goods are properly cared for.

Consumer rights (when applicable)

  1. Our sales are typically used goods sold at public auction (as they include the opportunity to participate in the sale) and are therefore excluded from the Consumer Rights Act 2015 ("the CRA"). However, if the CRA applies to any sale (for new products or an auction where you are unable to attend the sale) and if you are a consumer (acting wholly or principally outside your trade, business, trade or profession), then we will give effect to your legal rights.

48.1 These rights include that if the products purchased are not of satisfactory quality, you may return them for a refund within 30 days; within 6 months, you can get a price reduction or return the products, unless we can prove that the products are not defective. After 6 months, any refunds or reductions have a usage deduction.

48.2 Please note that if you exercise any legal right, including any right of refusal under the CRA, and if the goods cannot be returned by post, you must bear the cost of returning the goods to us, unless we provide delivery of the goods. State. .

48.3 Please also note that any right of repair or replacement, if any, is a claim you have against the Seller. As we act as the seller's agent, we do not have the facilities to repair the goods nor can we guarantee a replacement and therefore these remedies are disproportionately against us. However, we may enforce any right of refusal you may have.

  1. If you are a consumer (acting wholly or principally outside your trade, business, trade or profession) and you purchase an item at an auction heldfully onlineand whereno buyer can watch the final sale, then you have the rights set out in the Regulation as follows:

- Cancellation rights (only applicable to consumer sales where the auction is online only and the contract is over £42)

- Products must be advertised as new and sealed.

- The withdrawal period will expire 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, material possession of the goods.

If you cancel this contract, we will refund all payments received from you, including shipping costs. A Buyer will lose the right of cancellation if opening audio recordings, video recordings or computer software that were sealed upon delivery or for any unsealed merchandise that is not suitable for return if resealed for reasons of protection, health or hygiene .

We may make a deduction from the refund for the loss in value of the goods supplied if the loss is the result of unnecessary handling on your part.

We will refund you without undue delay and no later than:

(a) 14 days after the day we receive the goods supplied by you, or

(b) (if earlier) 14 days after the day on which you provide evidence that you have returned the goods, or

(c) if there are no goods supplied, 14 days after the day we are informed of your decision to withdraw from this contract.

We will refund using the same payment method you used for the initial transaction, unless you have expressly agreed otherwise; in any case, you will not incur any expenses as a result of the refund. We may withhold the refund until we receive the returned products or until you provide evidence that you have returned the products, whichever occurs first. You must return the goods or deliver them to us. You will have to bear the direct cost of returning the goods. You must return the products within 14 days of being notified of your intention to cancel.

  1. For the purposes of consumer rights, all persons who are Bidders or Buyers of pallets of Goods are traders, as the pallets are not for consumer use, but are intended for resale or parts/scraps/materials/spare parts, making them them a sale on the course. of the Buyer's business.

In general

  1. Any waiver by us of a breach of any provision of this Agreement will not be deemed a waiver of any subsequent breach of this or any other provision.

These terms and conditions can only be amended by written instrument signed by our duly authorized representative. You confirm that by accepting these terms and conditions, you have not relied on any representation as to these terms, except to the extent that the same has been expressly recorded in writing and signed by us.
  3. If any part of these terms and conditions is found to be unlawful, void or unenforceable, that provision will be deemed severable from the remainder of these terms and conditions and will not affect the validity and enforceability of the remaining provisions hereof.
  4. We shall have the right to revise and modify these terms and conditions from time to time. Therefore, you should check our website for the most current version before entering any Auction to ensure you are aware of any changes to our terms.
  5. These conditions will be governed by and construed in accordance with English law. All transactions to which these conditions apply and all related matters will also be governed by English law. Any dispute arising out of any auction or any matter arising out of our dealings with any Seller, Bidder or Buyer shall be subject to the exclusive jurisdiction of the courts of England and Wales.
